closely held corporation, and preparing and filing the appropriate documents
to establish and maintain the entity. |

Conversions: |
|
In 2006 Ohio enacted a law that
provides for the conversion of certain business entities to other
types of entities. For example, under certain circumstances a
corporation from another state may be converted to an Ohio
corporation or LLC, or an Ohio corporation may be converted to an
Ohio LLC. I have recently completed the conversion of a
foreign corporation to an Ohio corporation.

A limited liability company (LLC) is a relatively new form of
business organization that can have some of the best attributes of a
corporation, a partnership, or a sole proprietorship.
